1. Terms
Memoo is your go-to platform for launching and trading meme coins on the Solana blockchain. Every token creation is a fair process—no pre-sales, no insider deals, and no sketchy dynamics. Each token is minted when you initiate the creation of a smart contract on our platform. Once created, the token's code operates autonomously and cannot be altered.
We maintain a commitment to transparency, with all tokens subject to fixed supply and trading dynamics set by the underlying blockchain. While prices can be volatile, you acknowledge and accept all risks associated with participating in the memecoin space. By using Memoo, you agree not to hold us accountable for any financial loss incurred while trading tokens.
If Memoo suspects any fraudulent activity or violations of these Terms, we reserve the right to modify or remove your token information and limit your access to the platform.
2. Binding Agreement
By accessing Memoo, you confirm that you have read, understood, and agreed to these Terms. If you disagree, please do not use our platform. You also agree not to hold Memoo responsible for any losses incurred while engaging with our services.
You may not use Memoo if you are under eighteen (18) years old, if you reside in any jurisdiction where use of the platform is illegal, or if you are prohibited from using the site under applicable laws.
3. Access to and Use of Memoo
To access Memoo, you need to connect your wallet. You are solely responsible for your wallet's security and must keep your private keys confidential.
By creating a token on Memoo, you agree that:
All content uploaded is yours or you have the rights to it.
Your content will not be obscene or promote violence.
You will not mislead users regarding the token’s potential.
You will not use automated means to interact with the platform.
You will not introduce malicious content or disrupt our services.
You will not engage in illegal activities through Memoo.
Once a token is created, you acknowledge that it cannot be undone. However, Memoo reserves the right to remove tokens from visibility or integration with our platform at any time.
4. Memoo Obligations
We strive to maintain the availability of Memoo at all times, but access may be temporarily suspended for maintenance or security purposes. Our support team is available at support@memoo.ai.
5. Modifications and Interruptions
We reserve the right to modify or discontinue Memoo at any time without prior notice. We are not liable for any changes, price fluctuations, or service interruptions.

8. Term and Termination
These Terms remain in effect while you use Memoo. We reserve the right to terminate your access without notice for any violations of these Terms. If your access is blocked, you are prohibited from attempting to bypass this restriction.
9. Blockchain Risks
Blockchain technology comes with inherent risks, including price volatility and potential loss of funds. You understand that crypto-assets, including tokens, may have no current or future value and accept the risks involved in using the platform.
10. Warranty Disclaimer
Memoo is provided on an "as-is" basis. We do not guarantee the accuracy or completeness of our platform or its content. You use Memoo at your own risk.
11. Limitation of Liability
To the fullest extent permitted by law, Memoo and its affiliates are not liable for any indirect or consequential damages arising from your use of the platform. You acknowledge that Memoo does not take custody of your funds or assets.
12. Indemnification
You agree to indemnify Memoo against any claims, losses, or damages arising from your use of the platform or violation of these Terms.
13. Dispute Resolution
Any disputes related to these Terms will be resolved under the laws of the Republic of Panama.
14. Miscellaneous
a. Regulatory Compliance. Memoo may be subject to sanctions laws and regulations of the United States and other jurisdictions. You represent that you are not named on any U.S. or E.U government denied-party or generally-sanctioned jurisdiction list. You agree that you are not listed as a specially designated national (SDN) by OFAC. You will not, nor will you permit any other users to, access or use the Site in a U.S.-sanctioned country (including Cuba, Iran, North Korea, Sudan, Syria, or Crimea (region of Ukraine)) or violation of any U.S. sanctions, export law or regulation. Memoo will cooperate with any sanctions or financial crime enforcement action or investigation of users, as may be required by law, solely within Memoo's discretion.
b. Taxes. You are solely responsible for identifying, calculating, reporting, and remitting to the appropriate tax authorities any and all taxes related to your token(s) that may apply to your use of Memoo.
c. Severability. If any provision of these Terms is held by a court of competent jurisdiction to be contrary to law, the remaining provisions will remain in full force and effect.
d. Waiver. The waiver of a breach of any term hereof will in no way be construed as a waiver of any other term or breach hereof.
e. Entire Agreement. These Terms are the entire understanding of the parties concerning their subject matter and supersede any previous or contemporaneous communications, whether oral or written.
f. Headings and Interpretation. Headings and the summary explanations at the beginning of each Section of these Terms are for reference only and do not affect the parties’ rights and obligations hereunder. As used herein, “may” means “has the right, but not the obligation, to,” and “includes” and its variations mean “includes, but is not limited to.”
e. Electronic Communications. By using Memoo and communicating electronically, you consent to receive electronic communications and agree that they meet legal requirements for written communication. You also agree to the use of electronic signatures and records, waiving any rights requiring non-electronic methods.
